Compyl Terms of Service

 

  1. Introduction

    These Terms of Service (“Terms”) govern your access to and use of Compyl’s products, services, websites, and applications (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and all incorporated policies.

  2. Acceptance & Scope

    You affirm that you have the legal capacity to enter into a contract in your jurisdiction. These Terms apply worldwide and are intended to comply with applicable laws including, but not limited to:
    • United States federal and state consumer protection and electronic commerce laws
    • European Union consumer law & data protection (GDPR)
    • UK GDPR and UK consumer protections
    • Australian Consumer Law
    • Canadian federal and provincial privacy and consumer regimes (e.g., PIPEDA)
    • Hong Kong, Singapore, Indonesia, Thailand statutory protections and e-commerce rules
    Compyl may modify these Terms at any time; material changes will be communicated in advance.

  3. Definitions

    “User Data” means all information you submit or provide through your use of the Service.
    “Personal Data” means information that identifies or can reasonably identify an individual.

  4. User Eligibility

    You must be at least the age of legal consent in your jurisdiction to use the Service. Users under this age must have parental or guardian consent.

  5. Privacy & Data Protection

    Compyl’s Privacy Policy is incorporated by reference and explains how we collect, process, transfer, store, and protect Personal Data.
    • Where GDPR applies, we process Personal Data based on lawful bases such as consent, contract, legal obligation, legitimate interests, or vital interests.
    • Users have rights including access, correction, deletion, restriction, and data portability to the extent required under applicable law (e.g., EU GDPR, UK GDPR, Canadian laws).
    • International data transfers are governed by appropriate safeguards such as Standard Contractual Clauses (SCCs) or equivalent mechanisms under EU law.
    • If required, non-EU entities subject to GDPR will appoint an EU Representative.

  6. Your Obligations

    Users agree not to misuse the Service, including any prohibited behaviors set out in the Acceptable Use Policy. You are responsible for complying with all local laws governing data, content, taxes, and export controls in your jurisdiction.

  7. Subscription, Fees & Billing

    Some Service features may be subject to subscription fees. All fees are quoted in United States Dollars and are non-refundable except as required by local law. Taxes are your responsibility.

  8. Content & Intellectual Property

    Compyl owns all intellectual property rights in the Service. You retain ownership of User Data and grant Compyl a worldwide license to use it for delivering the Service and improving the experience.

  9. Third-Party Links

    The Service may contain links to third-party sites. Compyl is not responsible for the content or practices of such third parties.

  10. Warranties & Disclaimers

    To the fullest extent permitted by applicable law, the Service is provided “as is” without warranties of any kind. Where jurisdictions (e.g., EU, UK, Australia) do not allow certain disclaimers; your statutory rights will not be excluded.

  11. Limitation of Liability

    To the extent permitted by law, Compyl’s liability is limited to direct damages up to the amounts paid by you in the prior twelve (12) months. Exclusions apply to indirect, incidental, consequential, or punitive damages. In jurisdictions where liability cannot be limited, such limitations will not apply.

  12. Governing Law & Dispute Resolution

    These Terms are governed by the laws of Delaware, except where mandatory local law applies. For cross-border disputes, users may have rights under local consumer protection statutes. Certain jurisdictions require local dispute mechanisms (e.g., EU member dispute resolution, UK, Australia etc).

  13. Consumer Rights Notices

    Where you are a consumer, nothing in these Terms affects your statutory rights under applicable law, including rights relating to conformity of services, cancellation, and warranties.

  14. Termination

    Compyl reserves the right to suspend or terminate access for breach of Terms or applicable laws. Your rights and obligations that by their nature survive termination will remain in effect.

  15. Governing Language

    The governing language of these Terms shall be English; any translations are provided for convenience.
